Polisan Boya Changes Its Name

Polisan Boya's new name has been registered as Polisan Kansai Boya Sanayi ve Ticaret Anonim Şirketi.

In a disclosure made by Polisan Holding to the Public Disclosure Platform (KAP): In our material event disclosure made to the public on 12 December 2016, we reported that the application to the Competition Authority regarding the acquisition by Kansai Paint Co. Ltd. ("Kansai Paint"), one of Japan's leading paint manufacturers and among the world's top 10, of a total 50% stake in Polisan Boya Sanayi ve Ticaret A.Ş. ("Polisan Boya"), a 100% subsidiary of Polisan Holding, had been concluded favorably, and that share transfer transactions had commenced. As a result of Polisan Holding A.Ş. not exercising its preemptive rights in the share transfer executed on 21.12.2016 and the subsequent capital increase, Polisan Holding A.Ş.'s shareholding ratio in Polisan Boya became 50%. In consideration of the share transfer, Kansai Paint paid USD 68,500,000 to Polisan Holding A.Ş., and due to the capital increase, made total cash transfers of USD 45,000,000 to Polisan Boya. Furthermore, through amendments to the articles of association, the company's new name has been registered as "POLİSAN KANSAİ BOYA SANAYİ VE TİCARET ANONİM ŞİRKETİ".
