The Clorox Company announced that it has entered into a definitive agreement to acquire GOJO Industries, a leading firm in skin health and hygiene solutions, for USD 2.25 billion in cash, including approximately USD 330 million in anticipated tax benefits, with a net purchase price of USD 1.92 billion. The addition of Purell to Clorox's trusted brand portfolio further strengthens Clorox's position in health and hygiene among both individual consumers and institutional users.

Founded in 1946 by Goldie and Jerry Lippman, GOJO has achieved annual revenue of approximately USD 800 million and has demonstrated mid-single-digit stable growth performance with a 5% compound annual growth rate (CAGR) over the past three years. The company's portfolio of hand hygiene solutions generates more than 80% of its revenues through a broad and stable B2B distributor network supported by approximately 20 million soap and disinfectant dispensers, which creates continuous demand. The Purell brand, synonymous with safe and effective hygiene, holds the market-leading position in the hand disinfectant category in both B2B and retail channels.

The acquisition of GOJO is expected to provide Clorox with significant strategic advantages in both the short and long term. The transaction accelerates portfolio evolution and strengthens Clorox's strategic advantage while reinforcing its position in health and hygiene through a recognized and trusted brand like Purell. This enables Clorox to expand its reach in both B2B and retail channels, while gaining broader impact in growing categories where brand trust is a key differentiator, supported by favorable macroeconomic and consumer trends. Meanwhile, Purell's retail channel growth opportunities will be accelerated through Clorox's strong consumer brand portfolio, proven brand-building capabilities, consumer-focused innovation approach, retailer relationships, and distribution capabilities.

Additionally, the acquisition aims to generate further growth and profitability by combining GOJO's expertise in commercial, manufacturing, research and development, and regulatory functions with Clorox's strengths to create a best-in-class B2B platform. The transaction brings together two culturally and organizationally complementary organizations supported by a strong management team and talent base, creating a solid foundation for long-term and sustainable value creation. GOJO will maintain its headquarters in Ohio, and the strategic integration process aims to ensure that the combined entity and all customers benefit at the highest level from the two companies' combined capabilities.

The total value of the transaction is USD 2.25 billion, including approximately USD 330 million in anticipated tax benefits, with the net purchase price set at USD 1.92 billion. Clorox plans to finance the transaction primarily through debt financing. The acquisition is expected to be completed before the end of Clorox's 2026 fiscal year, following regulatory approvals and other customary closing conditions.
